Greif Nigeria Plc To 'Consider Closure' In Its 83rd AGM

Greif Nigeria Plc (formerly Van Leer Containers (Nigeria) Plc) has announced that it will be considering closure at its 83rd Annual General Meeting (AGM), which will take place at NECA HOUSE, (Main Auditorium), Plot A2, Hakeem Balogun Street, Central Business District, Alausa, Ikeja, Lagos on Monday, January 31st, 2021 at 12 noon.

The company, in a filing to the Nigerian Exchange Limited (NGX), said the agenda for the AGM will be to lay before members the Report of the Directors, the Financial Statements for the year ended October 31st, 2021, the Report of the Independent Auditors and Audit Committee thereon, to re-elect a Director,

Others are to declare manager remuneration, ratify the appointment and the remuneration of BDO Professional Services as the Company's Auditors in place of Ernst & Young, and finally to form the statutory Audit Committee.

The circular went further to say that the meeting will approve the remuneration of the directors and, most importantly, consider if "the company is wound up".

If a decision to wind up the company is taken, Inam Wilson, Esq., will be appointed Liquidator of the Company, and the directors of the Company will be authorized to give the liquidation full support.
